Soul Pilates and Care is a boutique Pilates studio located in San Diego, CA. Through our Site, visitors can learn about our studio and view our class schedule, book in-person Pilates classes and memberships—including specialty offerings such as prenatal and postpartum Pilates—and access information about our onsite childcare for members attending classes. Bookings, memberships, and class packages are managed through our online scheduling platform, Momence.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Soul Pilates LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change.
Soul Pilates and Care provides a boutique Pilates studio experience, including in-person Pilates classes, memberships, and class packages, specialty offerings such as prenatal and postpartum Pilates, and onsite childcare for members attending classes. Bookings, memberships, and class packages are managed through our third-party online scheduling platform, Momence.
The content on the Site, including text, graphics, logos, and images (the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"), are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. Except as expressly provided in these Legal Terms, no part of the Services may be copied, reproduced, or otherwise exploited for any commercial purpose without our express prior written permission.
By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update it as necessary; (3) you have the legal capacity to comply with these Legal Terms; and (4) you will not use the Services for any illegal or unauthorized purpose.
Some of our Services are billed on a subscription basis ("Membership(s)"). Memberships automatically renew unless cancelled in accordance with the cancellation policy set out through our booking platform, Momence, or as otherwise communicated to you at signup. You are responsible for reviewing your Membership terms and cancellation windows prior to enrolling.
We accept the following forms of payment: Visa, Mastercard, American Express, and Discover. All payments are in US Dollars.
Payments made through the Services are processed by a third-party payment processor, Momence. We do not directly collect or store your full payment card information; that information is collected and processed by Momence in accordance with Momence's own privacy policy, available at https://momence.com/privacy-policy/. We are not responsible for any errors, delays, or issues arising from Momence's processing of your payment information.
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
The Services may contain links to other websites ("Third-Party Websites") and services, including our booking platform, Momence, and our social media accounts, that are not owned or controlled by us. We are not responsible for the content, accuracy, or practices of any Third-Party Websites. Your use of any Third-Party Website is at your own risk and subject to the terms and policies of that website.
Our Site uses Google Maps Platform APIs to display our studio location. By using this feature of our Services, you are bound by Google's Terms of Service, available at https://cloud.google.com/maps-platform/terms.
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms; and (3) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason, in our sole discretion.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF (A) THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR (B) $500 USD.
This section governs claims related to your use of the Services, including billing, scheduling, and site-related issues. It does not limit or affect any separate liability waiver or assumption-of-risk agreement you sign in connection with in-person participation in Pilates classes or childcare services, which is governed separately and on its own terms.
You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of your use of the Services or your breach of these Legal Terms.
These Legal Terms shall be governed by and defined following the laws of the State of California. Soul Pilates LLC and you irrevocably consent that the courts of San Diego County, California shall have exclusive jurisdiction to resolve any dispute which is not subject to the arbitration provisions set forth below.
Informal negotiations. To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute"), you and Soul Pilates LLC agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration.
Binding arbitration. If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration, conducted in San Diego County, California, in the United States. Soul Pilates LLC will bear the cost of arbitration fees to the extent they are deemed excessive.
Restrictions. The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually.
Exceptions. Notwithstanding the above, either Party may bring a claim in the courts of San Diego County, California if arbitration is found not to apply to a given Dispute.
Time limitation. Any cause of action or claim you may have arising out of or relating to these Legal Terms must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred. This limitation applies to claims arising from your use of the Services (such as billing or membership disputes) and does not apply to or limit personal injury claims, which are governed by California's applicable statute of limitations and any separate liability waiver you sign.
There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.
The Services are provided on an as-is and as-available basis. You agree that your use of the Services will be at your sole risk. See our separate Disclaimer for additional details related to the physical, fitness-related nature of our Services.
